  • FlexMed+ fees: Optional memberships are billed via Stripe. Started billing periods are generally non-refundable except where mandatory law requires otherwise.
  • Liability: To the maximum extent permitted by law, our liability is limited as set out below and you agree to indemnify us for claims arising from your use of the Platform.

These Terms of Service (“Terms”) govern access to and use of the FlexMed website, marketplace and related services (together, the “Platform”). By creating an account, browsing while logged in, posting a listing, bidding, quoting, messaging, subscribing to FlexMed+, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Who we are

FlexMed is operated by HealthCore LTD, a private limited company incorporated in England and Wales under company number 16714575. Registered office: Hucknall Business Hub, Unit 2 The Byron Centre, Ogle Street, Hucknall, Nottingham, NG15 7FQ.

In these Terms, “FlexMed”, “we”, “us” and “our” mean HealthCore LTD in its operation of the FlexMed Platform.

2. What FlexMed is (and is not)

FlexMed is a United Kingdom online marketplace that helps organisations and individuals find, post and respond to opportunities relating to first aid, medical and healthcare training, trainer cover, course delivery and related professional services.

Depending on account type, the Platform may allow users to:

  • create trainer or company profiles and upload verification documents;
  • post trainer-cover jobs or training-provider requests;
  • browse opportunities on a map, bid, quote, message and manage job progress;
  • accept work / engagement contracts through the Platform;
  • subscribe to optional FlexMed+ membership features.

Unless we expressly state otherwise in writing, FlexMed is a technology platform and introducer only. We do not ourselves provide clinical care, medical advice, accredited training delivery, regulated employment agency or recruitment services, insurance underwriting, payroll, or tax advice. We are not a party to contracts for the delivery of training or related services between users, and we do not supervise, manage or guarantee those services or their outcomes.

3. Eligibility and account types

You must be at least 18 and able to enter a binding contract. If you use FlexMed for an organisation, you confirm you have authority to bind that organisation, and “you” includes that entity.

Accounts may include:

  • Trainers - freelance instructors and professionals bidding on trainer cover and, where eligible, quoting on requests;
  • Client organisations - organisations posting training requests for providers to quote on;
  • Training providers - companies posting trainer-cover jobs and/or quoting on client requests;
  • Administrators - authorised FlexMed staff.

You must provide accurate information and keep it up to date.

4. Accounts, security and sign-in

You are responsible for credentials and all activity under your account, including activity via Google, Microsoft or other linked sign-in methods. Notify us promptly of suspected compromise. Do not share accounts, impersonate others, create accounts with false details, or create multiple accounts to evade suspension or limits.

We may require email verification and may suspend, restrict or terminate accounts where we reasonably believe there is misuse, fraud, safeguarding risk, non-payment, unlawful activity, breach of these Terms, or another legitimate legal or business concern.

5. Verification documents

We may invite or require upload of certifications, insurance, DBS / CRB checks, healthcare registrations and similar evidence. Uploads are not self-approved. They remain pending until they pass automated review and/or FlexMed staff review. We may use third-party AI tools to check uploaded files against the details you provide; flagged, failed or uncertain cases are queued for human review. Approval, rejection or revocation of verification remains at our discretion. Any FlexMed verification badge or status is limited in scope and is not a guarantee, endorsement or certification of competence, right to work, insurance validity, safeguarding suitability, or fitness for any engagement. 6. Listings, bidding, quoting and awards

Posting users are solely responsible for the accuracy and lawfulness of job details (including dates, postcode/area, requirements, fees and headcount). Reading a listing fully before bidding or quoting is your responsibility.

We do not guarantee that any listing will attract bids, that any bid or quote will be accepted, that any award will proceed, or that any engagement will generate income. Award decisions are made by the posting user.

Where the Platform shows map pins or locations, approximate coordinates may be shown to guests or non-verified users. Full venue addresses and access notes may remain private until both parties have signed contracts and the company releases details. Map accuracy depends on geocoding and user-entered data; we do not warrant precise location data.

7. Work contracts and engagements between users

Where the Platform provides a work-contract or engagement-agreement acceptance flow, you must read the text and disclaimer before accepting. Acceptance may create a legally binding agreement directly between you and the other user. FlexMed is not a party to that agreement unless we expressly say so in writing.

Users (not FlexMed) are responsible for agreeing and performing scope, dates, venues, access arrangements, fees, invoicing, tax, IR35 / employment status, cancellation, substitution, insurance, safeguarding, equipment and quality standards. Payments for training between users are arranged directly between those users unless we clearly state that FlexMed processes such payments.

If you accept a contract and then fail to perform, you may be liable to the other party for losses, cancellation charges or other remedies under applicable law. FlexMed has no obligation to mediate, recover funds, determine fault or enforce private agreements between users.

8. Messaging and conduct

Use messages and the Platform lawfully and professionally. You must not harass, threaten, discriminate, defame, scrape, overload, introduce malware, bypass verification or fees, solicit off-platform evasion of Platform rules, or upload unlawful or confidential patient-identifiable information without a lawful basis.

We may monitor, moderate, remove content, suspend accounts or report activity to authorities where reasonably necessary to protect users, comply with law or enforce these Terms.

9. FlexMed+ and fees payable to FlexMed

Optional FlexMed+ memberships and other Platform fees (if any) are charged by us and processed by Stripe or another designated provider. Prices, intervals and features are shown at checkout or on the Platform and may change for future purchases.

By subscribing you authorise recurring charges until you cancel through the available billing portal or account flows. Except where mandatory consumer law requires otherwise, fees for a started billing period are non-refundable. We may run time-limited promotions that temporarily unlock FlexMed+ features for all members; when a promotion ends, paid or granted membership is required to keep those features.

FlexMed is not responsible for Stripe account issues, card declines, chargebacks initiated by you without basis, or tax treatment of your subscription.

10. Intellectual property and user content

We own or license the Platform, branding, software and our content. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Platform for its intended purpose while your account is in good standing.

You retain ownership of content you upload, and grant us a worldwide, royalty-free licence to host, store, process, reproduce, adapt, publish and display it as needed to operate, secure, improve and promote the Platform. You warrant you have the rights to submit that content and that it is lawful and accurate to the best of your knowledge. We may remove content that creates legal risk or breaches these Terms.

11. Privacy

Our processing of personal data is described in our Privacy Policy. If you obtain personal data through the Platform, you must handle it lawfully, keep it secure, use it only for legitimate engagement-related purposes, and not use it for unrelated marketing without a lawful basis.

12. Availability, maintenance and changes

We do not guarantee continuous, uninterrupted, secure or error-free availability. We may modify, suspend or withdraw features for maintenance, security, commercial or legal reasons. We may update these Terms; continued use after changes take effect constitutes acceptance. Where changes are material we will take reasonable steps to notify users.

13. Suspension and termination

You may stop using the Platform at any time and may delete your account where the product allows. Deleting your account permanently removes your profile and related marketplace data. We may suspend or terminate access immediately for breach, false information, unpaid sums, unlawful or harmful conduct, or safeguarding, legal or reputational risk. Provisions that by nature should survive (including liability, indemnity, IP and payment) continue after termination. Further detail is in the Privacy Policy.

14. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”. To the fullest extent permitted by law, we do not warrant that:

  • any listing will result in work, bookings or revenue;
  • any Professional is competent, available, insured, suitable, compliant or correctly verified;
  • any Requester will honour an engagement or pay;
  • user content, map data, messages or documents are accurate or complete;
  • the Platform will meet your requirements or be free of defects.

You rely on other users’ information and your own due diligence at your own risk. Training, clinical and safeguarding outcomes are solely between the users involved.

15. Limitation of liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded.

Subject to that, and to the fullest extent permitted by law, FlexMed and HealthCore LTD will not be liable for any indirect or consequential loss; loss of profit, revenue, business, goodwill, opportunity or anticipated savings; loss of data; business interruption; or any loss arising from dealings, disputes, non-payment, non-performance, injury, property damage, regulatory action or employment-status claims between users or involving third parties engaged via the Platform.

Our total aggregate liability arising out of or in connection with the Platform or these Terms shall not exceed the greater of (a) the total amount you paid to FlexMed for Platform fees in the 12 months before the claim arose, or (b) £100.

16. Indemnity

You agree to indemnify, defend and hold harmless HealthCore LTD, its directors, officers, employees and agents from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • your breach of these Terms or applicable law;
  • your misuse of the Platform or content you submit;
  • your listings, bids, quotes, messages, documents or profile information;
  • any engagement, training session, clinical incident, safeguarding issue, cancellation, non-payment or dispute between you and another user or third party;
  • employment status, tax, National Insurance, IR35, agency or worker claims relating to services you provide or procure;
  • alleged infringement of third-party rights by your content or conduct;
  • data protection or confidentiality breaches relating to data you upload or process;
  • chargebacks, payment disputes or refund claims relating to sums you owe another user or to FlexMed where you are at fault.

17. Force majeure

We are not liable for delay or failure caused by events beyond our reasonable control, including outages of hosting, payment or identity providers, strikes, epidemic, extreme weather, war, terrorism, or changes in law.

18. General

If any provision is held unenforceable, the remainder continues in force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganisation or sale. These Terms and the policies referenced on the Platform form the entire agreement regarding the Platform and supersede prior discussions on that subject.

19. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law provides otherwise.
